Content License Agreement

Status: Published for Beta 0. Effective Date: 2026-08-08

Executive Summary: Outfitma’s Content License defines the permissions under which Creators grant the platform rights to use their content. It ensures creators retain ownership of their content while granting Outfitma a non-exclusive, royalty-free license limited to hosting, delivering, and operating that content on the Platform. The license covers the rights needed to operate the service (storing, streaming, copying for CDN caching, creating thumbnails/previews, etc.) and explicitly allows sublicensing to third-party service providers (CDNs, payment processors, analytics) for the Platform’s operation. It does not grant Outfitma the right to use Creator Content in external advertising or marketing without the Creator’s prior consent. Duration and termination provisions ensure Outfitma stops distribution if content is removed or found to violate policies. These terms are designed to work with Outfitma’s notice-and-takedown process under the Copyright Policy and applicable EU rules. The following sections detail this license, and the tables/flowchart at the end compare license models and illustrate the license lifecycle.

Definitions

  • Creator: An individual or entity that owns original Content and publishes it on Outfitma.
  • Customer: A user who purchases or subscribes to access Paid Content on Outfitma.
  • Platform/Services: Outfitma’s websites, apps, APIs, and related services that enable Creators to host, sell, and deliver digital Content (including Subscriptions and PPV offerings).
  • Content: Any original digital creation (image, video, text, audio, etc.) uploaded by a Creator to Outfitma, or otherwise provided by a Creator to Outfitma for publication on the Platform (for example through an assisted-onboarding channel such as a shared Google Drive folder — see the Creator Terms, Section 3.6), whether offered for free or sale.
  • Paid Content: Content accessible only to Customers who have paid (via subscription or one-time purchase).
  • PPV Content: “Pay-Per-View” Content sold individually to Customers, separate from any subscription.
  • Subscription: A recurring payment granting a Customer ongoing access to certain Content or services.
  • Digital Product: Any digital good (e.g. e-guides, templates) sold or distributed on Outfitma.
  • License: The legal grant of rights to use Content as described below.

Capitalized terms not defined above have the meanings given in the Terms of Service or Creator Terms.

1. License Grant

The Creator hereby grants to Outfitma a non-exclusive license, worldwide, royalty-free, and fully paid-up, to use the Creator’s Content in all formats and media for the term of this agreement, solely to operate, provide, secure, and improve the Platform. Specifically, Outfitma is permitted to:

  • Host and store the Content on Outfitma’s servers and storage systems.
  • Stream, display, and transmit the Content to Customers (via web, apps, or other delivery methods) when they access or download the Content.
  • Copy, cache, and create derived versions of the Content as needed for delivery and publication (e.g. CDN caching, file transcoding, resizing, thumbnail or preview generation, compression), including AI-assisted processing — for example, extracting item thumbnails from outfit or capsule photos — performed via the AI service providers named in the Privacy Policy, solely to operate the Platform.
  • Publicly display or perform the Content on the Platform to Customers entitled to access it.
  • Display the Creator’s name, profile, trademarks, and branding on the Platform in connection with listing and presenting the Content and the Creator’s profile (for example, displaying the Creator’s name or logo with content listings, in on-platform search results, and in on-platform recommendation surfaces).
  • Sublicense the above rights to third-party service providers (such as content delivery networks, analytics providers, or payment processors), but only to the extent needed to operate and secure the Services.
  • Use Content for compliance and moderation, including automated content analysis (e.g. copyright-checking or illegal-content filtering) and manual review, solely to enforce policies and applicable law.

By granting this license, the Creator allows Outfitma to make the Content available to Customers as part of the Services, including excerpted versions (thumbnails, previews) on Platform surfaces. This license does not include use of the Content, or of the Creator’s name or likeness, in external advertising or marketing (for example on social media, in newsletters, in ads, or in app-store materials); any such use requires the Creator’s prior consent (see Section 7). This license is non-exclusive: the Creator may also license the Content elsewhere. Any exclusive or time-limited arrangement must be separately negotiated in writing.

2. Creator Ownership and Reservation of Rights

The Creator retains all ownership rights in the Content. Outfitma acquires only the limited license granted above; ownership, copyrights, and all other rights remain with the Creator. The Creator may continue to license or use the Content elsewhere, subject to any exclusivity chosen herein. Any rights not expressly granted are reserved by the Creator.

3. Permitted Uses and Restrictions

  • Customer Use: Customers who have purchased or subscribed are granted only a limited license to view or access the Paid Content for personal, non-commercial use. Customers may not redistribute, resell, or publicly share Paid Content outside Outfitma.
  • Restrictions: The Creator agrees not to impose additional restrictions on Customer access beyond Outfitma’s policies. Similarly, Outfitma will preserve any copyright or proprietary notices included by the Creator and will not remove watermarks or notices.
  • Note: Unauthorized sharing or misuse of Content by Customers is prohibited under the Terms of Service and platform policies.

4. Term and Termination of License

  • Effective Date: This license takes effect when Content is first uploaded to Outfitma or otherwise provided to Outfitma for publication (for example through an assisted-onboarding channel such as a shared Google Drive folder) and remains in effect as long as the Content is live on the Platform.
  • Creator Termination: The Creator may delete or withdraw Content from Outfitma at any time, subject to any obligations (e.g. refunding customers) as described in the Creator Terms or Commerce Policy. Upon deletion, the license for that Content immediately terminates.
  • Outfitma Termination: Outfitma may suspend or terminate the license if the Content violates these terms, the Community Guidelines, or any applicable law (for example, in response to valid copyright complaints under the Copyright Policy). Outfitma will notify the Creator if practical.
  • Effect of Termination: When the license ends for any Content, Outfitma will promptly cease use of that Content and remove it from public access on the Platform. Outfitma may retain a limited archival copy of terminated Content solely to comply with legal obligations (e.g. for refunds or audits), and only for as long as required by law. All other rights of Outfitma under this license immediately terminate.

5. Effects of Termination

Upon termination of a Content’s license, Outfitma will:

  • Cease all distribution and public display of the Content.
  • Remove the Content from customer accounts and marketplace listings.
  • Retain at most an archival backup for legal or regulatory compliance for a limited time (no longer than required).
  • Inform affected Customers if required by law (for example, under EU consumer protection rules). Any obligations that naturally survive (such as indemnities and confidentiality) will continue in force.

6. Moral Rights and Modifications

To the extent permitted by applicable law, the Creator waives (or agrees not to assert) any moral rights or similar rights in the Content against the uses licensed in Section 1. The Creator acknowledges and consents that Outfitma may make reasonable technical edits or alterations to the Content as necessary for delivery on the Platform (e.g. cropping images, adjusting formats, creating thumbnails or excerpts). Outfitma will use reasonable efforts to attribute Content to the Creator (by name or brand) when displaying it.

7. Promotional Use

Outfitma may display portions of the Creator’s Content (thumbnails, short clips, excerpts, or descriptions) on the Platform to present the Creator’s work to users (for example, in on-platform listings, previews, search, and recommendation surfaces). Such on-platform presentation is included within Outfitma’s license grant (see Section 1) and does not entitle the Creator to additional compensation.

External promotional use — for example on social media, in newsletters, in advertising, or in app-store materials — is not included in this license and requires the Creator’s prior consent. This is consistent with the Terms of Service, the Creator Terms, and the framework description in 0.README.md: Outfitma does not receive a general external marketing license to Creator Content.

8. Warranties and Representations

The Creator represents and warrants that:

  • Ownership/Clearance: The Creator is the sole author or has all necessary rights to the Content and to grant the rights in this license. This includes all copyrights, and if the Content includes third-party materials (e.g. music, images, trademarks, or identifiable individuals), the Creator has obtained all licenses, releases, and permissions needed (including any necessary consents for personal data).
  • No Infringement: The Content does not infringe any third-party intellectual property, privacy, publicity, or other rights, and does not violate any law (e.g. is not defamatory, obscene, or illegal).
  • Compliance: The Content is accurate and complies with applicable regulations. Any content requiring professional credentials or disclaimers (medical, legal, financial advice, etc.) is properly labeled as such. The Creator has not given any conflicting license to others that would impair Outfitma’s rights.
  • Moral Rights: Any necessary moral rights have been waived or accounted for, to the extent permitted. These warranties survive termination of the license.

9. Indemnification

The Creator agrees to indemnify, defend, and hold harmless Outfitma (and its affiliates, officers, agents, and employees) from any claims, losses, liabilities, costs or expenses (including reasonable attorneys’ fees) arising from or related to:

  • A breach of any of the Creator’s warranties or representations.
  • Any claim that the Content infringes or violates a third party’s rights or any applicable law.
  • Any act or omission of the Creator that violates this license or platform policies. If Outfitma is sued or incurs damages because of content provided by the Creator, the Creator will assist in defense as needed. Outfitma may control the defense and settlement of any such claim.

10. Limitation of Liability

For general liability terms, see the Terms of Service. To the extent permitted by law, Outfitma’s liability for all claims related to this Content License (including any termination of it) is limited to amounts actually paid to the Creator (e.g. commissions or payouts under the Creator Terms). Outfitma will not be liable for indirect, incidental, or consequential damages arising from the Content’s use or removal.

11. Compliance with Laws and Policies

  • Content Standards: All Content must comply with Outfitma’s Community Guidelines and applicable laws (copyright, defamation, privacy, etc.). Outfitma reserves the right to remove or disable any Content that violates policies or laws.
  • Age and Sensitive Content: Creators must accurately label adult or age-restricted Content. Outfitma may enforce age-gating or restrict Content that is not appropriate for minors.
  • Regulated Content: Content offering professional advice (legal, medical, financial, etc.) must include appropriate disclaimers. Creators are responsible for compliance with any industry-specific regulations.
  • Privacy/Data Protection: If Content includes personal data (e.g. identifiable people), the Creator must have consent for that use. Outfitma will process any such data under its Privacy Policy in compliance with GDPR/CCPA, etc.
  • Export and Sanctions: Both parties agree to comply with export control and sanctions laws. Creators may not upload Content prohibited by these laws (see the Terms of Service for details on restricted countries and entities).

12. Notice and Takedown

If Outfitma receives a valid notice alleging that Content infringes someone’s rights or is illegal, Outfitma will promptly remove or disable access to the Content and notify the Creator. The Creator may submit a counter-notice if they believe the Content was removed in error. Outfitma’s Copyright Policy and Community Guidelines explain this process in detail.

13. Governing Law and Dispute Resolution

This Content License is governed by the laws of Germany (unless mandatory law requires otherwise). Any disputes arising out of or related to this license shall be resolved before the competent courts of Germany (or another agreed German venue). The specific court venue will be fixed upon registration of the operating legal entity and is subject to legal review. This choice of law/jurisdiction is consistent with the Terms of Service.
