Terms of Service

Executive Summary: Outfitma is an online platform connecting Creators (fashion stylists) with Customers who access styling content from Creators they follow or subscribe to. By using Outfitma, you agree to these Terms and our related policies (Privacy Policy, Community Guidelines, and the other documents referenced below). In brief: Creators retain ownership of their content and grant Outfitma only a limited license to operate the platform; access to Outfitma is currently limited during a phased beta; sign-in is passwordless (email one-time code, magic link, or Google Sign-In); and paid features, where offered, are governed by the Commerce Policy. Outfitma is currently operated as an early-stage project under the name "Outfitma"; the responsible legal entity will be identified in these Terms upon company registration.

Definitions

Capitalized terms used in these Terms have the meanings given in Definitions. The most important ones:

• Outfitma, "we", "us": The Outfitma platform and its operator.
• Services: The Outfitma website at https://outfitma.com, apps, and related online tools.
• Account: Your registered user account.
• Creator (Stylist): A user who publishes fashion content (outfits, capsules, articles, advice) on Outfitma and may, where the relevant functionality is enabled, offer paid access to Customers.
• Customer: A user who follows, subscribes to, or otherwise accesses a Creator's content.
• Paid Content: Content or services accessible only after payment or during an active paid Subscription, where paid features are enabled.
• Subscription: A recurring plan that grants a Customer access to a Creator's content for the duration of the subscription period. Where billing is enabled, Subscriptions auto-renew until canceled.
• Beta Whitelist: The list of email addresses approved for access during a beta phase (see Section 3).
• Stylist Waitlist: The public form through which prospective Creators can express interest in joining Outfitma (see Section 3).
• Content License: The separate agreement under which Creators grant Outfitma the limited rights needed to host and deliver their content. Creators retain all ownership; Outfitma may not use Creator content for its own external marketing without permission.

The Creator Terms, Commerce Policy, Community Guidelines, Copyright Policy, Acceptable Use Policy, Content License, the Cookie Notice, and the Privacy Policy are incorporated by reference.

1. Acceptance of Terms

By creating an Account or accessing any part of the Services, you agree to be bound by these Terms (and the policies referenced herein). If you do not agree, do not use Outfitma. Outfitma may update these Terms at any time; we will notify you of material changes (e.g. by email or site notice) and post the new effective date above. Continued use after changes are posted constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

2. Eligibility, Accounts, and Authentication

You must be at least 18 years old to register on or use Outfitma. Outfitma is intended only for adults; persons under 18 are not permitted to use or register for the Services. Additionally, you must not be located in a country subject to sanctions or appear on any denied-party list. By registering, you certify that you meet these requirements and that all information you provide is accurate and complete.

Authentication. Outfitma uses passwordless sign-in. Supported methods are:

• a one-time code sent to your email address;
• a magic sign-in link sent to your email address; and
• Google Sign-In.

There is no password-based login. Your email mailbox (or Google account) is your credential: you are responsible for keeping it secure, for keeping one-time codes and magic links confidential, and for all activity on your Account. Notify us at team@outfitma.com immediately if you suspect unauthorized access.

3. Beta Access and Stylist Waitlist

Outfitma is being launched gradually through beta phases. The rules in this section apply while a beta phase is in effect and take precedence over any conflicting availability language elsewhere in these Terms.

3.1 Whitelist-gated access (current phase). Registration and the normal authentication methods described in Section 2 are enabled. However, during the current closed beta, access to Outfitma is restricted to users whose email address has been approved for the beta (the Beta Whitelist). If your email address has not been approved, registration or sign-in will be declined. Both Customers and Creators are subject to the Beta Whitelist during the closed beta. Approval for the beta is at Outfitma's discretion, and nothing in these Terms entitles any person to beta access.

3.2 Stylist Waitlist. Prospective Creators may submit their email address through the Stylist Waitlist on the Outfitma landing page. Submitting the waitlist form:

• is an expression of interest only;
• does not create an Account;
• does not guarantee approval, beta access, Creator status, publication privileges, or monetization; and
• is separate from the Beta Whitelist. If Outfitma approves a waitlist applicant, the applicant's email address may be added to the Beta Whitelist, after which the applicant can register using the normal authentication methods.

The email address you submit through the Stylist Waitlist is stored by Outfitma and used to review your application and to contact you about beta access, as described in the Privacy Policy.

3.3 Later phases. As Outfitma expands access (for example, opening Customer registration generally while keeping Creator onboarding restricted and approval-based), we will update this section and note the change in our changelog. Feature availability may differ between phases; see Section 5.

3.4 Beta character of the Services. During beta phases, the Services are under active development. Features may be added, changed, interrupted, or removed; content or data may need to be reset where technically necessary; and availability is not guaranteed. Section 12 (Disclaimers) applies with particular force during beta.

4. User Roles and Permissions

Outfitma recognizes these primary user roles:

Customers currently access content from Creators they are subscribed to. A general public content catalog or discovery feed is not currently available; if discovery features are introduced later, they will be governed by these Terms as updated at that time.

5. Subscriptions, Paid Content, and Feature Availability

Creators may offer access to their content through Subscriptions. Key points:

• Feature availability. Some commercial features described in these Terms and the Commerce Policy — including paid Subscription billing, pay-per-view content, digital products, styling services, and Creator payouts — may not yet be enabled for your account, your region, or at all during beta phases. Where a paid feature is not yet enabled, the commercial clauses in these Terms and the Commerce Policy describe how the Services are intended to operate when the feature becomes available; they do not create a right to purchase, to receive payouts, or to use the feature before it is offered. No payments are currently processed through Outfitma.
• Subscription access. A Subscription grants access to the subscribed Creator's included content for the duration of the subscription period, subject to these Terms and the platform's access controls.
• Billing and renewal (when billing is enabled). Subscription fees auto-renew at each period's start until canceled by the Customer or terminated by Outfitma or the Creator. Customers may cancel at any time; if canceled, access continues until the end of the already-paid period. Renewal terms and prices will be displayed at checkout.
• Creator account deletion. If a Creator deletes or terminates their account, auto-renewal is disabled for that Creator's Subscriptions. Existing subscribers retain access through the end of the already-paid period, but no new purchases or renewals occur for that Creator.
• Saving to wardrobe. Saving an outfit, capsule, or item to your wardrobe does not by itself create a separate paid license, does not substitute for an active Subscription where one is required, and does not obligate Outfitma to keep third-party product links or Creator media available indefinitely.

6. Fees, Payments, and Taxes (when paid features are enabled)

The following applies if and when paid features are enabled (see Section 5); detailed rules are in the Commerce Policy:

• Platform Fee: Outfitma retains a Platform Fee of 20% of the Creator Sale Amount on Creator sales, as defined in the Commerce Policy. For example, if a subscription's Creator Sale Amount is $10, Outfitma retains $2 and the Creator's share before other deductions is $8.
• Commercial role: Unless we expressly state otherwise at checkout or in a separate written agreement, Outfitma (or its payment processor on Outfitma's behalf) acts as the merchant of record / contractual seller of the paid access purchased through the Services, while the Creator is the creator of the underlying content. The final payment-provider and merchant-of-record structure will be confirmed before paid features launch; these Terms will be updated if the structure differs.
• Payouts: Creators will receive payouts on a schedule and via methods published before payouts are enabled. Exact payout timing, methods, and minimum thresholds are business decisions that have not yet been made and will be published before the first payout. Creators must provide any required tax or identity information before receiving payments.
• Taxes: Creators are solely responsible for taxes on their earnings (income tax, VAT, etc.). Outfitma may collect and remit VAT or sales tax from Customers when legally required.
• Refunds and cancellation: Governed by the Commerce Policy and mandatory consumer-protection law. Nothing in these Terms limits mandatory consumer rights, including any applicable statutory withdrawal rights for consumers in the EU or UK.

7. Content Ownership and License

Creators retain full ownership of all content they upload (photos, outfits, text, videos, etc.). Posting content on Outfitma does not transfer copyright to us or to other users. However, by publishing content you grant Outfitma a limited license (described in the Content License) to host, display, cache, stream, and otherwise operate the content on the platform for delivery to users. This license is non-exclusive and worldwide but only covers uses within Outfitma (for example, showing a preview or including content in on-platform recommendations). Operating content on the platform may include automated and AI-assisted media processing — for example, generating item thumbnails from outfit and capsule photos — carried out via the service providers disclosed in the Privacy Policy. Outfitma will not use your content for external advertising or marketing without your consent.

Customers are granted only a personal, non-transferable, revocable right to view content through Outfitma. Customers may not download for redistribution, scrape, resell, rehost, or publicly share restricted content except as expressly allowed by the platform.

Creators must ensure all content complies with law and does not infringe third-party rights. You warrant you have all necessary rights (e.g. image releases for identifiable people) to publish your content. Outfitma may remove or disable access to content that appears infringing or violates our policies.

8. User Conduct and Content Rules

All users must follow our policies (detailed in the Community Guidelines and Acceptable Use Policy). You may not use Outfitma to post or facilitate: illegal activity; copyrighted material without permission; hateful, harassing, or pornographic content; spam or phishing; malware or hacking. Outfitma may remove or disable any content or account that violates these rules. Repeat or severe violations may lead to permanent suspension of the Account.

9. Moderation and Removal

Outfitma may review and remove content at our discretion. We do not guarantee content is accurate or lawful. Platform Role: Outfitma is a hosting platform — not a fashion retailer, stylist agency, or employer of Creators. We provide infrastructure for content (and, when enabled, payments) but do not produce Creator content. We are not liable for transactions or advice outside our platform.

When required by law or policy, Outfitma will act to remove or disable access to content. For example, upon receiving a valid copyright infringement notice under our Copyright Policy, we will remove or disable the specified content. If content is removed, we generally notify the uploader. If a Creator's account is suspended or terminated for violations, their restricted content may become inaccessible even during a paid term.

10. Account Termination and Data Retention

Either you or Outfitma may terminate your Account at any time. Outfitma may suspend or terminate Accounts that violate these Terms or for other legitimate reasons. Upon termination:

• A Creator's active Subscriptions stop renewing (auto-renewal disabled). Customers who have already paid retain access until the end of the paid period, after which access to that Creator's restricted content ends.
• A Customer's active Subscription expires at period end; where billing is enabled, no refunds are issued for unused time after cancellation except as required by law or the Commerce Policy.
• Outfitma may keep copies of content and data as needed to comply with law, resolve disputes, and enforce these Terms.

You may request deletion of your Account and associated personal data by emailing team@outfitma.com from the email address associated with your Account. Account deletion is currently handled as a manual support request: there is no self-service deletion control in the product yet, and Outfitma fulfills verified deletion requests manually, without undue delay and within the timeframe required by applicable law (under the GDPR, generally within one month of the request). See our Privacy Policy for details on your data rights. Outfitma may retain information as required by law (for example, transaction records for tax purposes) even after account deletion.

11. Copyright and Infringement

Outfitma respects copyright law and operates a notice-and-takedown process for copyright complaints, including under applicable EU rules (such as hosting-provider obligations under the Digital Services Act). If you believe your copyrighted work is posted on Outfitma without permission, follow our Copyright Policy to submit a takedown request. We will promptly remove or disable access to the material in question. If you submit a valid counter-notice, we may restore the content as the law allows. Repeat infringers will have their accounts terminated.

12. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available." Outfitma disclaims all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement), to the extent permitted by law. We do not promise that the Services will always be available, secure, or error-free — particularly during beta phases (Section 3.4).

To the extent permitted by law, Outfitma (and its affiliates) is not liable for indirect, incidental, special, punitive or consequential damages, even if we have been advised of the possibility of such damages. Our total liability arising from any claim related to the Services (whether in contract, tort, or otherwise) is limited to the amount of fees received by Outfitma from you in the 12 months before the claim. This limitation does not apply to liability for death or personal injury, intentional misconduct, gross negligence, or any other liability that cannot be limited by law (including under German law where applicable).

13. Indemnification

You agree to defend, indemnify, and hold harmless Outfitma and its affiliates, officers, and agents from any claims, liabilities, losses, or expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your use of the Services; or (c) your violation of any law or third-party right. For consumers in the EU/UK, this obligation applies only to the extent the claim results from your breach or fault and only as permitted by mandatory law.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany. Disputes will be brought before the competent courts of Germany, unless overriding consumer-protection laws provide otherwise. The specific court venue will be fixed upon registration of the operating legal entity and is subject to legal review. If you are a consumer within the EU/UK, you retain any additional rights under the mandatory law of your country of residence, and you may bring claims before the competent courts of that country where the law so provides. Before resorting to court, the parties should attempt to resolve disputes informally. The European Commission provides information on consumer dispute resolution at consumer-redress.ec.europa.eu.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will give advance notice (for example by email or site announcement). You should review these Terms periodically. If you do not agree to the changes, you must stop using the Services and cancel any Subscriptions.
