Definitions

This document contains the common definitions used throughout Outfitma’s legal documentation.

Unless a particular document expressly provides otherwise, capitalized terms have the meanings below.

1. Account

“Account” means the account a person creates to access or use Outfitma, including any associated profile, settings, dashboard, and account credentials.

2. Applicable Law

“Applicable Law” means all laws, regulations, rules, and legally binding requirements applicable to a person’s use of Outfitma, the relevant transaction, or the relevant content or service, including applicable laws of Germany, the European Union, and other jurisdictions where relevant.

3. Customer

“Customer” means a user who follows, subscribes to, purchases, or otherwise obtains access to a Creator’s content, digital products, or services through Outfitma.

4. Creator

“Creator” means a user who publishes content or offers paid content or services through Outfitma. A Creator may also be referred to as a Stylist, seller, or content provider. Documents and product surfaces that say “Stylist” mean “Creator.”

5. Content

“Content” means any material made available through Outfitma, including photographs, images, videos, text, captions, outfit recommendations, capsule wardrobes, styling materials, files, links, comments, profiles, and other materials.

6. Creator Content

“Creator Content” means Content submitted, uploaded, published, or otherwise provided to Outfitma by a Creator.

Creator Content remains owned by the Creator, subject to the rights and licenses expressly granted to Outfitma under the Content License, the Creator Terms, and the Terms of Service.

7. Paid Content

“Paid Content” means any content, digital product, or service that a Creator makes available to Customers in exchange for payment through Outfitma.

Paid Content may include Subscriptions, PPV Content, Digital Products, and Styling Services.

8. Subscription

“Subscription” means a recurring paid offering through which a Customer receives access to a Creator’s content or services for a defined billing period.

Unless otherwise stated, a Subscription renews automatically until canceled.

9. PPV Content

“PPV Content” or “Pay-Per-View Content” means a specific piece, bundle, post, video, image set, file, or other offering that a Customer purchases through a one-time payment.

10. Digital Product

“Digital Product” means a digital item offered by a Creator for purchase, including guides, lookbooks, templates, e-books, checklists, downloadable files, or similar digital materials.

11. Styling Service

“Styling Service” means a personalized styling-related service offered by a Creator through an Outfitma feature that supports such services.

Examples may include online consultations, wardrobe reviews, capsule reviews, outfit planning, shopping assistance, and custom styling recommendations.

12. Platform

“Platform” means the Outfitma website, application, software, interfaces, systems, and related services through which Outfitma provides its service.

13. Services

“Services” means the features and functionality made available by Outfitma through the Platform from time to time, including publishing, subscriptions, creator profiles, and — where and when enabled — paid content and discovery features. Feature availability may differ between beta phases; see the Terms of Service, Section 3 (Beta Access) and Section 5 (Feature Availability).

14. Platform Fee

“Platform Fee” means the fee retained by Outfitma from transactions involving Paid Content.

The current Platform Fee is 20% of the Creator Sale Amount, unless a different rate is expressly agreed in writing.

15. Creator Sale Amount

“Creator Sale Amount” means the amount attributable to a Creator’s offering for purposes of calculating the Platform Fee, excluding separately identified taxes collected from the Customer on behalf of a tax authority.

Discounts funded by the Creator may reduce the Creator Sale Amount. Taxes and other amounts separately collected solely to satisfy legal obligations do not form part of the Platform Fee base unless Applicable Law or the relevant commercial arrangement requires otherwise.

16. Creator Share

“Creator Share” means the amount attributable to a Creator after deduction of the Platform Fee and any other applicable deductions described in the Commerce Policy, the Creator Terms, or another applicable agreement.

Unless otherwise stated, the Creator Share is 80% of the Creator Sale Amount before other applicable deductions.

17. Purchase

“Purchase” means a transaction through which a Customer obtains Paid Content or another paid offering.

18. Billing Period

“Billing Period” means the recurring period for which a Subscription is purchased, such as one month or another period stated at checkout.

19. Access Period

“Access Period” means the period during which a Customer is entitled to access a particular offering.

The applicable Access Period may be stated in the relevant offering, checkout flow, Subscription terms, or other applicable agreement.

20. User Content

“User Content” means Content submitted or provided by any user of Outfitma.

Where the user is a Creator, User Content includes Creator Content.

21. Third-Party Services

“Third-Party Services” means websites, applications, payment providers, hosting providers, stores, platforms, tools, or other services operated by third parties and linked to, integrated with, or used in connection with Outfitma.

22. Third-Party Content

“Third-Party Content” means content, products, services, or materials supplied or controlled by a third party rather than Outfitma.

23. Policies

“Policies” means the rules and policies published by Outfitma from time to time, including the Commerce Policy, Community Guidelines, Copyright Policy, Acceptable Use Policy, and Content License.

24. Personal Data

“Personal Data” means information relating to an identified or identifiable natural person, as defined by Applicable Law.

25. Taxes

“Taxes” means VAT, sales tax, use tax, withholding tax, income-related taxes, and other governmental charges imposed in connection with transactions or earnings.

26. Content License

“Content License” means the license granted by a Creator to Outfitma in relation to Creator Content, as described in Content License.

27. Intellectual Property Rights

“Intellectual Property Rights” means copyrights, trademarks, design rights, patents, database rights, trade secrets, rights of publicity, rights of privacy, and other intellectual property or proprietary rights recognized under Applicable Law.

28. Affiliate

“Affiliate” means an entity that controls, is controlled by, or is under common control with Outfitma.

29. Effective Date

“Effective Date” means the date on which a particular legal document or policy becomes effective, as stated at the beginning of that document.

30. We, Us, Our

“Outfitma,” “we,” “us,” and “our” mean the operator of the Outfitma platform. The Outfitma legal entity has not yet been registered; upon registration, the registered entity will be identified in the Terms of Service and this definition will be updated to refer to it.

31. You, Your

“You” and “your” mean the person or legal entity using Outfitma.

32. Beta Period

“Beta Period” means any phase during which Outfitma limits access to or availability of the Services while the platform is launched gradually, as described in the Terms of Service, Section 3.

33. Beta Whitelist

“Beta Whitelist” means the list of email addresses approved by Outfitma for access to the Services during a whitelist-gated Beta Period. Registration and sign-in are enabled during such a phase, but are declined for email addresses that are not on the Beta Whitelist.

34. Stylist Waitlist

“Stylist Waitlist” means the public form through which a prospective Creator may submit an email address to express interest in joining Outfitma. Submitting the Stylist Waitlist form does not create an Account, does not add an email address to the Beta Whitelist, and does not entitle anyone to access, Creator status, publication privileges, or monetization.

35. Authentication Methods

“Authentication Methods” means the passwordless sign-in methods supported by Outfitma: a one-time code sent by email, a magic sign-in link sent by email, and Google Sign-In. Outfitma does not offer password-based login.

36. Interpretation

Unless a particular document states otherwise:

  • singular terms include the plural and vice versa;
  • references to a person include an individual and a legal entity;
  • headings are for convenience and do not affect interpretation;
  • “including” means “including without limitation”; and
  • references to documents include their updated versions where applicable.

If a term is specifically defined differently in a particular legal document, the definition in that document controls for purposes of that document.
